Job Description

We are seeking a motivated legal counsel with 4-6+ years of post-qualification experience (PQE) to join our legal team that forms part of the Legal, Risk and Compliance (LRC) department. In this role, you will support Libeara by providing legal and regulatory advice as well as drafting, reviewing and negotiating contracts. You will be working on structuring products and transactions, advising on new market entry strategies, co-leading licence applications and other regulatory matters, and negotiating key commercial, partnership and vendor contracts. You will work closely with our cross-functional teams, and Libeara’s counterparties, partners and external legal advisors. Training on blockchain and digital assets will be provided for those who are new to this area. This role reports directly to the Chief Legal and Compliance Officer of Libeara.

Responsibilities

  • Product Structuring: Support business, strategy and technology teams in conceptualising, structuring and executing new products.
  • Contract Drafting and Negotiation: Draft, review, and negotiate a wide range of commercial agreements, including platform terms and conditions, bespoke client-facing agreements, term sheets, technology service agreements, supply contracts, licensing arrangements, non-disclosure agreements and partnership/cooperation agreements.
  • Licensing and Regulatory: Lead or co-lead licence applications and a wide range of regulatory matters.
  • Legal Advice: Provide clear, practical, and business-focused legal advice to internal stakeholders on product, commercial, licensing/regulatory and fundraising matters. Conduct research on a wide range of legal topics, including legal, licensing and regulatory requirements in different jurisdictions across the globe.
  • Compliance and Risk Support: Supporting the Legal, Risk and Compliance team in adapting Libeara’s business model in line with regulatory and market developments and ensuring compliance with relevant laws, regulations, and industry standards. Assist in proactively managing internal policies and procedures to mitigate legal risk.
  • Cross-functional collaboration: Work closely with our business development, technology, operations and finance teams to align legal strategies with business objectives and ensure efficient execution of projects.
  • Legal Documentation and Reporting: Maintain accurate and up-to-date records of contracts and legal documents. Assist in reporting on all legal matters to senior management.

Required experience, skills and qualifications

  • PQE: 4-6+ years of post-qualification experience gained in a law firm and/or in-house.
  • Experience (legal): Strong background in providing clear, commercially-focuses advice as well as drafting and negotiating commercial contracts. Exposure to digital assets, capital market products and/or licensing/regulatory work would be advantageous but is not critical.
  • Experience (industry): Experience working for a financial services, capital markets, asset management, technology, FinTech or digital asset firm, or experience covering such areas in private practice. Strong candidates from other industries and with other high-quality experience will also be considered.
  • Strong communication skills: Ability to explain legal concepts in clear, concise, and actionable terms for non-legal stakeholders.
  • Problem-solving Skills: Demonstrates ability to think critically, manage multiple priorities, and provide practical legal solutions in a fast-paced environment.
  • Business acumen: Understanding of day-to-day operations of fast-growing companies combined with the ability to align legal advice with business objectives.
  • Intellectual curiosity: Intellectual curiosity is essential for this role as Libeara operates in a novel and rapidly evolving segment of the digital asset industry.
  • Collaboration: Comfortable working as part of a cross-functional team and providing legal support in a collaborative and service-oriented manner.
  • Professional qualifications: All candidates must be qualified in a reputable common law jurisdiction.
